However, you also need to be careful because there are articles that govern how the company runs. So yes, you’ve got your shareholder agreement, but you’ve also got your Articles of Association. Generally, when you’re setting up a company, you might click through the setup process without fully reviewing the articles, choosing either bespoke articles or the government’s standard articles. Often, you’ll just select the normal ones and proceed without knowing what they actually say. You need to be careful that anything in your shareholders’ agreement doesn’t conflict with what your articles say. If you do want to change anything in the articles, you need to make sure that Companies House is informed, and we can amend those articles for you and make them bespoke.
