Definitions on a contract pretty important?
So that bit at the top of your contracts, normally at the top, where it’s got definitions, it’s got some words usually in bold, usually with some quotation marks round, nobody ever cares what it says in there. Like oh yeah there’s some words, let’s skip past it. Actually those words are really important, those words need to be used consistently throughout your contract.
So let’s say for example it says introduction, it’s got a big capital I, it’s a definition, introduction. Now everywhere it says introduction throughout your contract and it links to that defined term, you need it to have that capital I. If it doesn’t have that capital I, it might be that actually that’s a different introduction, they’re not talking about your defined introduction. Now that might be a loophole where they’re saying no but we didn’t introduce, you introduced separately, it’s not included in this contract. So you need to make sure that your defined terms are used consistently throughout your contract.
You also need to make sure the definition actually matches what you want that defined term to mean. So if for example introduction means they have asked you for a CV and you have sent that CV, by defining introduction in that way you are saying no spec CVs. So you need to make sure that the definition matches what you intend in that contract. So just remember those first few words, very important, do not stick over.
